NAME        The Club shall be called Fyfield Bridge Club (2015)

 

2 HEADQUARTERS    The headquarters of the Club shall be situated at Fyfield Village Hall.

 

3 AIM    To provide facilities for its members to play Duplicate Contract Bridge

 

4 MEMBERSHIP

 

4.1    Membership shall be open to any person who has applied for membership by completing and forwarding to the Secretary such form as may be prescribed from time to time by the Committee and approved by the majority of the Committee.

 

4.2.    All members are deemed to have accepted the regulations of this Constitution, the rules and any codes of conduct adopted by the Club.

 

4.3.    The Committee will keep a register of members that will include contact details.

 

4.4.    A member shall cease to be a member immediately if expelled from the Club under the provisions of this Constitution.

 

4.5    The Committee may remove a person’s membership if they believe it is in the best interests of the club. The member has the right to be heard by the Committee before the decision is made and can be accompanied by another member.

 

4.6    A member whose subscriptions have not been paid within three months from the date on which the subscriptions were due for payment shall cease to be a member of the Club.

 

4.7     All members are required to comply with the requests of the Acting Director.

 

5 OFFICERS

 

5.1.    The Officers of the Club shall be the Chairperson, Vice Chair, Secretary and Treasurer.

 

5.2.    No member of the Club shall simultaneously hold more than two Offices of the Club.

 

5.3.    Each of the Officers shall be elected at the Annual General Meeting and shall retire annually at the next Annual General Meeting but shall be eligible for re-election.

 

5.4.    In the event of a vacancy arising during the year of any Officer, the Committee shall choose one of their number to fill such vacancy until the ensuing Annual General Meeting.

 

6 COMMITTEE

 

6.1.    The Committee shall consist of the Officers together with up to four other members of the Club who shall be elected at the Annual General Meeting and all shall retire annually at the ensuing Annual General Meeting, but shall be eligible for re-election.

 

6.2.    The Committee may from time to time co-opt further members to serve on the Committee.  Co-opted members shall be entitled to participate fully in the proceedings of the Committee.

 

6.3    A quorum at meetings of the Committee shall be three members of the Committee, including at least one Officer.

 

6.4.    The Committee may from time to time appoint sub­-committees to undertake aspects of the administration of the Club. Members of such sub­ committees may include members of the Club who are not members of the Committee. 

 

6.5.    Proceedings of the Committee and of any sub­-committees shall be regulated in such manner as the Committee may from time to time decide.

 

6.6.    The Committee shall give a report to each Annual General Meeting concerning the affairs of the Club since the previous Annual General Meeting.

 

6.7       The Chairperson may, at any time convene, a Committee Meeting although only six meetings can be held each year.

 

7 MANAGEMENT

 

7.1.    The affairs of the Club shall be managed by the Committee. The Committee shall have powers to determine any issue arising in connection with the affairs of the Club which is not specifically provided for in this Constitution.

 

7.2.    The Committee may from time to time formulate and publish such rules as it thinks fit but in the case of any conflict between such rules and this Constitution, the Constitution shall prevail.

 

8 POWERS

 

The Powers of the Committee will include but are not limited to:

 

8.1    Obtaining, collecting and receiving money or funds by subscriptions, donations, grants and any other lawful method towards the aims of the Club.

 

8.2    Doing all such lawful things as will further the aims of the Club. 

 

9 GENERAL MEETINGS

 

9.1.    An Annual General Meeting shall be held in each year in the month of November for the club year which will run from 1st November to the following 31st October.

 

9.2.    A Special General Meeting may be convened by the Committee at any time.

 

9.3.    The Chairperson shall chair all General Meetings and in his absence the Vice Chair or some other member of the Committee approved by a majority of those present at the Meeting shall chair the meeting.

 

9.4.    Notice of all General Meetings of the Club shall be given to all members no later than two weeks prior to the date fixed for the meeting

 

9.5.    Any member may propose a motion to be discussed at a General Meeting provided that e-mail or written notice of the proposed motion is delivered to the Secretary no later than one week prior to the date fixed for the meeting.

 

9.6.    A quorum at General Meetings shall be one officer two committee members and ten members

 

9.7.    Voting at General Meetings shall be by show of hands, and in the event of parity of voting the chairperson of the meeting shall have a second or casting vote.

 

10 NOTICES

 

10.1.    Notices of any Special General Meeting and of any Annual General Meeting shall be given to members

 

10.2    Notices of any other matters to be brought to the attention of members shall be by email to the last address of each member notified to the Secretary.

 

11 NOMINATIONS

 

11.1.    Nominations for the posts of Officers or Committee members shall be by e-mail or in writing signed by a proposer and a seconder both of whom shall be members and by the person nominated.

 

11.2.    Nominations must reach the Secretary no later than one week prior to the date fixed for the Annual General Meeting.

 

12 SUBSCRIPTIONS and FEES

 

12.1.    Each member shall pay an annual subscription which shall be decided at the Annual General Meeting. Subscriptions shall be due for payment by 30th November in each year in respect of the current year

 

12.2.     Any member whose subscription remains unpaid after the due date shall pay table money at the rate applicable to visitors until their subscription has been paid in full.

 

12.3.    Each member and each guest and visitor, shall pay table money on each occasion when they play at the Club; the amounts shall be decided at the Annual General Meeting.

 

12.4.    Each applicant for membership may be required to pay a joining fee the amount (if any) which shall be decided at the Annual General Meeting.

 

12.5.    The Committee may determine variations on the basic amounts of subscriptions and table money for members, guests and visitors in different circumstances and may waive subscriptions or table money in the event of hardship or for any other good causes.

 

13 ACCOUNTS

13.1.   The Treasurer shall arrange for accounts to be prepared in respect of the financial affairs for each year ending on 31st October.

 

13.2.   The Committee shall appoint an independent auditor to approve the accounts prior to the Annual General Meeting.

 

13.3.    The annual accounts shall be presented to the Annual General Meeting for approval.

 

14 GUESTS and VISITORS

 

14.1.    Any member may invite a guest to play at the Club with the approval of an Officer.

 

14.2.    The Committee may from time to time place a limit on the number of occasions on which a non-member may play at the club without being required to apply for membership.

 

14.3      All guests and visitors must comply with the requests of the Acting Director.

 

15 MEMBERS’ BEHAVIOUR 

 

15.1      Each member of the Club shall be required to conform to the standards of fair play courtesy and personal deportment as required by the Committee or as decided by the Acting Director. 

 

15.2     If any member does not comply with the requirements of the Committee or Acting Director then disciplinary procedures may commence at the discretion of the Committee.

 

15.3     Disciplinary proceedings will be undertaken by the Committee who will have powers to suspend or expel members at their discretion.

 

16 ALTERATIONS TO THE CONSTITUTION

 

16.1.    No alterations shall be made to this constitution except at a General Meeting.

 

16.2.    In order for a resolution to alter this constitution at least one half of members must attend the General Meeting and at least two thirds of the votes cast on the resolution must be in favour.

 

17 DISSOLUTION

 

17.1     The club may be dissolved by a resolution passed by a simple two-thirds majority of those present and voting at a Special General meeting.

 

17.2     If confirmed, the Committee shall distribute any assets remaining after the payment of any debts to a non-profit-making concern with similar purposes to the Club or to all members of the Club on a pro-rata basis based on their length of membership.

 

8th November 2019
