Rules and Constitution of the Cringleford Bridge Club.

Rules and Constitution 

Name of the club.

  1. The name of the club shall be Cringleford Bridge Club.

Management.

2.1 The management of the club shall be invested in a committee consisting of the chair, the vice chair, the secretary, the treasurer, the partner’s secretary and a number of elected members so that the total number of persons on the committee does not exceed ten.

2.2 Five members of the committee shall form a quorum.

2.3 The committee shall have the power to fill vacancies occurring in their numbers in the course of a session and to co-opt not more than two additional members. Co-opted members may act until the end of a season when they shall retire.

2.4 The committee shall meet as deemed necessary and whenever summoned by the secretary or the chair. At least three days notice of any meeting shall be given to each member of the committee.

2.5 The committee shall have the power to appoint a subcommittee if considered advisable for any purpose and to delegate such powers on such conditions as it may determine.

2.6 All matters coming before the committee shall be decided by a vote and in the event of equality of voting, the chair shall have a casting vote.

Retirement and election of officers.

3.1 The chair and vice-chair shall be elected to serve for a term of two years. At the end of the term of office the chair shall serve on the committee for a further period of one year as an ex-officio member. At the end of the term of office the vice-chair shall become chair for the next two years. Both the chair and vice-chair can be removed from office during their two year by a resolution put to an extraordinary general meeting called in accordance with rule 12.2.

3.2 All other officers and members of the committee shall retire at the annual general meeting and shall be eligible for re-election and shall be deemed re-nominated unless signifying their intention not to stand for office again.

3.3 Any further nominee for the position of an officer of the club or for a membership of the committee, shall, after expressing his or her willingness to act, be proposed and seconded in writing and the proposal shall then be sent to the secretary. Voting shall be in accordance with the procedures laid down in rule 13.

Bye-laws.

4. The committee shall have power to formulate, pass and to put into operation such bye-laws and policies as are not inconsistent with these rules, as they consider fit for the proper conduct and management of the club. Such bye-law or policy shall not come into operation until it has appeared on the club’s webpage for a period of two weeks.

Regulations.

5.1 No one shall be entitled to club membership until the annual subscription has been paid and such payment shall be a complete and unreserved acknowledgement of acquiescence in all rules, bye-laws and regulations of the club in force at that time.

5.2 Any member changing his/her address shall notify the same in writing to the treasurer or secretary and failing such information all notices sent to the old address shall be deemed to have been delivered.

5.3 Any member may resign membership at any time in writing to the secretary or the treasurer.

5.4 It shall be the duty of the committee if at any time they are of the opinion that the interests of the club so require to request a member to appear before it. If the committee are of the opinion that such action is necessary or if the member fails to appear, the committee may by letter invite him or her to resign from the club within a specified time and on expiration of such time erase his or her name from the list of members and such person shall not afterwards be admissible to the club as a guest.

5.5 At the absolute discretion of the committee a member may be excluded from renewing membership if, during the preceding season, he/she shall have attended less than fifteen playing meetings of the club.

Guests.

6. At the absolute discretion of the committee, a member may introduce guests to the club. Guests must pay an additional entry fee for each play meeting.

Seasions.

7. The day of the beginning of each season shall be the first Tuesday in September of every year and shall cease on the last Tuesday in August of every year. All subscriptions become due on or before for the first day of September in each year.

The secretary.

8. This secretary shall keep full and correct minutes of all proceedings at the meetings of the club and of the committee.

The treasurer.

9. The Treasurer shall keep correct books of the financial affairs of the club which shall be duly audited annually by an auditor who shall not be a member of the committee. The treasurer shall also keep a register of members.

The director.

10. The director shall be responsible for organising and running the play session at which he or she is director.

General.

11. No complaints shall be considered by the committee unless made in writing to the secretary.

Meetings of the club.

12.1 The annual general meeting of the club, of which twenty-one days notice shall be given to members, shall be held as soon as is convenient after the first September in each year on a date fixed by the committee and the notice shall state of the date before which nominations under rule 3.2 shall be made.

At this meeting the result of any ballot provided by rule 3.2 shall be announced and the chair, and the treasurer shall submit their reports on the seasons activities.

12.2 The committee shall have power to call an extraordinary general meeting of the club at any time and shall be bound to call one to be held within one calendar month of receiving a written request signed by at least twelve members of the club. Any such request shall specify the object of the meeting and shall be deposited with or sent by registered post to the secretary or the chair at their private address.

The meeting, whether convened by the committee or the requsitionists, must be convened for the purposes specified in the requisition, and when convened by the requsitionists, for these purposes only. In the event of the committee, for twenty-one days after such deposit or posting, as the case may be, failing to convene an extraordinary meeting to be held within the said time of one month, the requsitionists may themselves convene an extraordinary meeting within fourteen days thereafter.

12.3 All meetings of the club other than the annual general meeting shall be called by notice in writing giving at least seven days notice specifying the place, date and hour of such meeting and stating the general nature of the business to be considered.

12.4 At all meetings of the club sixteen members shall form a quorum and the chair, or failing him or her, the senior member of the committee, shall take the chair.

Vote of members.

13.1 Every ordinarily member shall have one vote. It shall not be competent for a member to appoint a proxy to vote on his or her behalf.

13.2 At all general meetings votes shall be given by a show of hands in the first instance. A poll may be demanded by any four members present and entitled to vote. In the event of equality of voting either on a show of hands or by a poll, the chair of the meeting shall have a casting vote in addition to his or her vote as a member.13.3 No member shall be entitled to be present or to vote at any general meetings so long as any subscription or other sum due from him or her is still unpaid.

Disputes.

14. The committee shall have the power to settle and adjudicate upon disputes between the members of a kind usually referred to a committee of a members club or upon any dispute or difference which may arise as to the meaning or interpretation of these rules and bye-laws of the Club and its decision shall be final and binding on all members.

Alterations.

15. No alteration or addition to the foregoing rules shall be made except at a general meeting or an extraordinary general meeting called for that purpose and then only if carried by a two-thirds majority of the members voting.
