Constitution
 
 
  Object
The object of 'the Club' shall be to provide the social amenities and facilities for playing bridge, and it shall meet for this purpose at such places on such days and between such times as shall be decided from time to time by the Committee.
  General Rules

1.      NAME:  The name of the club shall be the “The Silhill Bridge Club”, herein-after referred to as “The Club”.

2.      OBJECT: The object of the Club shall be to provide the social amenities and facilities for playing bridge, and it shall meet for this purpose at such places on such days and between such times as shall be decided from time to time by the Committee.

3.      AFFILIATION: The Club shall maintain affiliation to the Warwickshire Contract Bridge Association and to the English Bridge Union.

4.      OFFICERS:   The Officers of the Club shall be President, Vice-President, Hon. Secretary, Assistant Hon. Secretary, Hon.Treasurer and Club Captain.

5.      MANAGEMENT: The general management of the Club shall consist of:

a.      the Officers of the Club.

~

~~~

b.     3 Ordinary Members who shall be elected in accordance with rule 8, plus the immediate Past President, who shall be referred to as OrdinaryMembers of the Committee.

6.      The general management of the Club shall be vested in the Committee, 5 to form a quorum.

~

~

~~~

The Chairman shall be entitled to a casting vote.

~

~

~~~

The Officers and Ordinary Members of the Committee shall retire annually and, if eligible,may submit themselves for re-election, subject to rule 8.

~

Any casual vacancy occurring in the Officers or Ordinary Members of the Committee during any year may be filled by the Committee from the membership of the Club. Any member so elected shall retire at the first Annual General Meeting thereafter, but, if eligible, may submit himself or herself for re-election.

Committee Meetings shall be held from time to time as may be deemed necessary, seven days notice being given by the Hon. Secretary to each Member of the Committee.  The attendance of the Members of the Committee shall be recorded by the Hon. Secretary.

The Committeeshall at their first meeting elect their Chairman for the ensuing year.

7.      NOMINATION OF OFFICERS AND ORDINARY MEMBERS OF THE COMMITTEE:

~~

a.      A nomination sheet showing each office and spaces for Ordinary Committee Members shall be placed on the notice board on or before 21February and removed three weeks before the date of the Annual General Meeting.

b.     Any two Members of the Club may nominate a Member to serve as an Officer or Committee Member of the Club after receiving assent of such Member.  The name of the Member nominated, the Proposer and the Seconder shall be entered on the nomination sheet.

~

No nomination shall be valid unless the three names relative thereto are written on the sheet before the expiration of the above-mentioned period.

~

c.      If at an Annual General Meeting it is found that a nomination has become invalid owing to the Proposer or Seconder being disqualified by resignation, expulsion or non-payment of dues, a substitute Proposer or Seconder will be accepted prior to the election of Officers and Committee Members.

      The sheet shall have three columns headed::

~

                                  i.         Member nominated.

~

                                  ii.                  Proposer’s signature.

~

                                  iii.                 Seconder’s signature.

~

d.     The names of the persons so nominated shall be posted on the Club notice board and the Club's Internet Website at least two weeks before the Annual General Meeting.

8.      ELECTION OF OFFICERS AND ORDINARY MEMBERS OF THE COMMITTEE:

The Officers and Ordinary Members of the Committee referred to in Rules 4 and 6 shall be elected at the Annual General Meeting by ballot.

9.      SUB-COMMITTEES:

The Committee shall have power to appoint such sub-committees as they deem desirable.

10.  DUTIES OF OFFICERS:

a.      The Hon. Treasurer shall keep an account of all monies received and paid by him on behalf of the Club.

b.     The Banking Account of the Club shall be operated on the signatures of any two of the following:        Chairman, Hon. Treasurer, Hon. Secretary.

~

     Should any of these positions fall vacant the Committee shall nominate a replacement from within the Committee to maintain a level of three signatories.

~

~~~

c.      All monies of whatever nature received on behalf of the Club and by whomsoever received shall be either handed into the Hon. Treasurer by the person receiving the same or paid by him or her into the Club’s Bank Account.

d.     The Committee, at its first meeting after the Annual General Meeting shall authorise the Hon. Treasurer to make such routine payments and receipts as may arise from time to time – any exceptional items to receive the prior approval of the Committee.

e.      The Hon. Treasurer shall present to the Committee for incorporation into the notice convening the Annual General Meeting a duly audited statement of accounts showing the financial transactions of the Club up to 31 March each year.

f.       The Hon. Secretary shall keep a record of the proceedings of the Club in a Minute Book kept for the purpose and shall also keep a correct roll of Members.

11.  TOURNAMENT DIRECTORS:

~

The General Committee shall appoint suitably qualified Members to supervise all sessions of contract bridge.  Such Members shall be capable of interpreting the Laws of Contract Bridge and the Directives issued from time to time by the English Bridge Union for the guidance of Tournament Directors.

12.  GENERAL MEETINGS:

a.      Annual General Meetings of the Members shall be held on a date to be fixed by the Committee as soon after 31 March in each year as may be conveniently arranged and no later than 31 May.  Fourteen days notice shall be given to each Member specifying the date, place and hour of such meeting.  At the same time a Statement of Account duly audited shall be placed on the notice board and the Club's Internet Website.  The business of the Annual General Meeting shall be to receive and consider reports from the Officers andStatement of Accounts, to elect the Officers and Ordinary Members of the Committee of the Club, and to transact any other business which ought to be transacted at the meeting, and all business transacted at any other General Meeting shall be deemed special business.

b.     Subject to requisition to the Hon. Secretary signed by at least 20 (twenty) Members stating precisely the resolution to be proposed the Committee shall at its discretion, call a Special Meeting within 28 days of the date of such requisition and 14 days notice of any Special Meeting shall be given to Members.

c.    QUORUM   TwentyMembers shall be present in person to constitute a Quorum at an Annual GeneralMeeting.

d.     NOTICE OF SPECIAL MEETING   In the case of special business to be transacted at a General Meeting the notice convening the Meeting shall contain particulars of such Special Business, but the omission to give such particulars shall not invalidate any resolution passed at such Meeting.

13.  ACCOUNTS: The Accounts of the Club shall be made up for the year ending 31 March.

14.  HON. AUDITOR: The Hon. Auditor shall be appointed by the Committee and his duties shall be to audit the Accounts of the Club for the year to 31 March following his appointment and to report thereon to the Annual General Meeting, making any recommendations he feels justified in respect of the manner in which theAccounts are kept.

15.  MEMBERSHIP: The number of Members shall be limited in such a manner as the Committee shall from time to time determine. Persons seeking Membership of the Club shall complete the requisite Application Form which shall be signed by the Members proposing and seconding the application. Such Application Form shall then be displayed on the ClubNotice Board for a period of 14 days. The Officers of the Club shall then consider the application, bearing in mind any observations or comments passed by other Members of the Club, and decide to approve or, where adverse comments have been received, call a Meeting of the Committee where the application shall either be approved or denied by a majority decision. The Committee shall have power to refuse an application for Membership without assigning a reason.

New Members shall pay the full entrance fee and a proportion of theAnnual Subscription as determined by the Hon. Treasurer and Hon. Secretary.

On the election of each new Member the Hon. Secretary shall notify the same to him or her by letter and such new Member shall, on request, be furnished with a copy of the Rules of the Club for the time being in force, and shall be requested to remit the full entrance fee and a proportion of Annual Subscription as above.  Any new Member who has failed to pay his or her Entrance Fee and Annual Subscription after one calendar month from the date of the Hon. Secretary’s notification of election as a Member thereby renders his or her election null and void unless he or she can show sufficient cause for such delay to the satisfaction of the Committee.

16.  RESIGNATION AND RE-ELECTION OF MEMBERS:  A Member desirous of resigning from the Club shall inform the Hon. Secretary in writing of his or her intention to do so. Such Member shall continue liable for any monies fees or subscriptions due and unpaid at the date of his or her resignation.  Any Member who resigns and afterwards wishes to rejoin can do so if nominated and elected as provided by Rule 15. In any such case the Committee shall have power at its discretion to modify or waive the Entrance Fee.

17.  EXPULSION OF MEMBERS:  Members are at all times expected to behave in a reasonable and proper manner.  TheCommittee is empowered to expel any Member who contravenes the above, provided that:-

i.          Before any Member be so expelled he or she shall be given at least 14 days notice of a Meeting of the Committee at which he or she shall be afforded the opportunity of putting his or her case.

ii.      Any Member against whom a resolution of expulsion has been passed by the Committee shall forthwith be notified of such resolution and shall be entitled to on a requisition in writing by at least 20 Members and presented to the Hon. Secretary within 21 days of the resolution of expulsion being passed to appeal to a Special General Meeting of the Club to be called for the purpose.

iii.     On the presentation of such requisition as aforesaid the Committee shall convene a Special General Meeting and the resolution of the Committee expelling the Member shall be annulled if less than two-thirds of theMembers present, including the Committee, vote for the resolution.

18.  ENTRANCE FEE AND SUBSCRIPTION:

a.      Every Member joining the Club shall pay the appropriateEntrance Fee in force at the time of joining.

b.     Subscriptions shall be such amount as the Committee may from time to time determine. The rate of subscription shall be fixed before the commencement of each financial year (i.e. 1 April) and shall only be varied by the Annual General Meeting or a Special General Meeting called for this purpose.  Subscriptions are due on 1April each year and no Member is entitled to vote at any Meeting unless the current subscription has been paid.

19.  ADDRESSES OF MEMBERS:  Each Member shall notify the Hon. Secretary of any change of address or telephone number.

20.  NOTICE TO MEMBERS:

a.      A notice may be served upon a Member either personally or through the post in a pre-paid letter to such Member at the address last recorded in the books of the Club.

b.     No notice shall be placed on the notice board in theClub without the sanction of the Hon. Secretary, or, in his or her absence, a Member of the Committee.

21.  VISITORS: Visitors shall normally be permitted to attend the Club provided they are introduced by a Member or have given advanced notice.  The table fees for visitor shall be fixed from time to time by the Committee.  In exceptional circumstances, the Committee reserves the right to refuse entry.

22.  COMPLAINTS: All complaints respecting the arrangements of the Club shall be by letter to the Hon. Secretary signed by the complainant.

23.  COMPETITIONS: Competitions shall be held at such times and under such conditions as the Committee shall determine.

24.  MEMBERS AND VISITORS PROPERTY:  The Club accepts no responsibility whatsoever for property left on Club premises.

25.  ALTERATION OF RULES:  No resolution for the repeal or alteration of any existing Rule of the Club or for the making of any new Rule shall be effective if less than two-thirds of the Members present and entitled to vote at a General Meeting at which any such resolution is submitted, vote in favour of it.  Notice of the intention to propose any such resolution at an Annual General Meeting must be given by the Hon. Secretary on or before 31 March in any year, and particulars of such proposed resolution shall be contained in the Notice convening the Meeting.  Nothing in these Rules (seeRule 12.d.) shall be deemed to authorise a General Meeting to alter the Rules of the Club unless proper notice of such proposed alteration shall have been given previously in accordance with the provision of Rule 12.b.  All Members of the Club shall be bound by theRules of the Club and any alterations therein which may from time to time be made.

26.  CONSTRUCTION OF RULES:  Any question not provided for in these Rules and all questions arising on the construction of these Rules shall be decidedby the Committee.

27.  WINDING UP: The Club shall only be wound up by a resolution passed by the majority of the Members at a General Meeting.  The assets of the Club shall be realised and the proceeds, after payment of all expenses, shall be distributed in such a manner as shall be decided by a majority of Members present at a General Meeting.

28.  HONORARY LIFE  MEMBERS:  The Committee is empowered to grant Honorary Membership provided that the Member shall have been a full Member of the Club for not less than five years and, in the opinion of the Committee, warrants such an appointment.
