1.Name of Club

The name of the club is Foxrock Bridge Club.  It is constituted primarily for the purpose of playing and promoting the game of Bridge.

2.Management of the Club

The management of the Club shall be vested in a Committee which shall be elected at the Annual General Meeting of members and shall consist of:

1. The President
2. The Vice President
3. Honorary Secretary
4. Honorary Treasurer
5. Honorary Tournament Director
6. Additional Committee Members up to a maximum of 8 to include the previous year’s President
7. Quorum: A total of 5 present of the above at any Committee meeting called by the President or in his/her absence by Vice-President, shall form a Quorum

Eligibility:

1. To be eligible for election as President,  a person must have been a member of the Club for at least 3 years and have served on the Committee for at least 1 year
    
2. To be eligible for the election to the Management Committee a person must have been a member of the Club for at least 1 year
    

Term of Office The term of office for a member of the Committee shall be up to a maximum of five (5) years

3.Management Committee

All property, possessions and monies of the Club shall be vested in members of the Committee on behalf of the members.

The Management Committee (hereafter known as “The Committee”) shall have power to

1. Co-opt four (4) members to the Committee for special purposes during any year
    
2. Appoint Club Sub-Committees and to delegate power to such sub-committees on behalf of the Committee
    
3. Make local rules for the smooth running of the Club.

Any such co-options and appointments under (l) & (ll) above may be terminated by the Committee when their function has been completed, but must be terminated at the next Annual General Meeting

4.Chairman

The President shall take the Chair at all meetings. In his/her absence or should he/she decide to stand down a Vice-President may take the chair. In the event of the President or a Vice-President not taking the Chair any other member may be moved to the Chair.

5.Annual General Meeting

1. The Annual General Meeting (AGM) of members shall be held as soon as practicable after the last Major competition of the year.
2. Twenty one (21) days’ notice of the AGM shall be given to members.  This notice shall advise members that nominations for the Committee and resolutions duly proposed and seconded should be in the hands of the Honorary Secretary not less than fourteen (14) days before the AGM. Such resolutions shall be posted on the Club notice board fourteen (14) days before the AGM.
    
3.  Only members who have qualified under Rule 8, or Honorary Members,  are entitled to vote.
    
4. In the event of a ballot for an election to the Committee, no ballot paper shall be valid which does not contain votes for the full number of members to be elected
    
5. Voting by proxy is not permitted

6.Special or Extraordinary General Meeting

A Special or extraordinary General Meeting shall be called by the Honorary Secretary at the request of the Committee or a requisite of twenty-five (25) members of the club. Notice of such meeting to be called in accordance with Rule 5 Section (b)

7.Membership

1. Persons over 16 years of age shall be eligible for election to membership of the club
    
2. The Committee, in recognition of service to the Club or of distinction in the Bridge world may nominate, and a general Meeting of the Club may elect, any person so nominated to be an Honorary Member of the Club
    
3. The total membership of the Club shall not exceed 200 members, or such other number as the members may decide at an AGM.

8.Election of Members

1. All persons wishing to become Members must be proposed and seconded by a fully paid up Member of over two (2) years standing and be elected by the Management Committee. Only one candidate can be proposed or seconded by any one member.
2. The President cannot propose or second a candidate for membership.
    
3. All persons who have been elected to Membership must pay the Annual subscription and entrance fee if any, within fourteen (14) days of notice of being so elected. Failure to so will make their election null and void.
    

4. Any member wishing to resign membership of the Club shall notify his/her intention to do so to the Honorary Secretary in writing before the end of the Club year.

9.Honorary Treasurer

The Honorary Treasurer will have charge of the funds of the Club and will keep the Accounts as directed by the Committee. All cheques shall be signed by two (2) of three (3) officers authorised by the Committee, usually but not confined to the President, Secretary and Treasurer.

The Honorary Treasurer shall present a financial statement of the Club’s position whenever requested by the Committee and shall submit to each AGM for approval, a statement of the Accounts for the financial year, having been audited by an Honorary Auditor.

10.Subscription and Entrance Fee

The Annual Subscription shall be determined at a General Meeting of the Members.  Annual Subscriptions shall be due on 1^st September. (for new members see rule 8 c.)

Members who have not paid their subscription may not play in Major Club Competitions

Members whose Subscriptions have not been paid for one (1) month from due date, will be deemed to have terminated their membership.

11.Responsibility

 All belongings of Members and others on Club premises, or in the vicinity thereof i.e. car parks, shall be at the sole risk of the owner. The Club or Committee shall not be responsible for any loss or damage thereto.

12.Affiliation

The Club shall be affiliated to the Eastern Region of the Contract Bridge Association of Ireland and shall be subject to its Laws and Bye-laws

13.Interpretation of Rules

If any doubt shall arise as to the proper interpretation of any Rules, the matter shall be referred to the Committee and their decision will be final and binding.

14.Amendment of the Constitution

This Constitution and Rules may not be amended, extended or altered in any way, save with the consent of two-thirds of the Members present and qualified to vote at an AGM, or at a Special Meeting

15.Availability of Constitution

A copy of the constitution shall be given to each new member of the Committee at the first meeting of the Committee after election.

A copy of the Constitution shall be held by the Club Secretary for inspection by an ordinary member of the Club.
