Constitution
Name
The name of the Club shall be "Ealing Bridge Club" hereinafter called "the Club".
Objects

The objectives for which the Club is established are:-

  1. to promote and encourage the study and practice of social and competitive bridge
  2. to be affiliated to the English Bridge Union
  3. to do all such other lawful things as are incidental or conducive to the attainment of the above objects
Management

The officers of the club shall be:-

  1. chairman
  2. vice-chairman
  3. secretary
  4. treasurer
  5. partner arranger
  6. senior tournament director
  7. master point secretary

The management of the Club shall be vested in the Executive Committee, hereinafter referred to as "the Committee", which shall be able to appoint sub-committees. The proceedings of any sub-committee or subsequently shall be reported to and confirmed by the Committee.

All the powers of the Club shall be vested in the Committee save those that are expressly required to be exercised by the Club in general meeting.

The management of the Club shall be elected by ballot at the Annual General Meeting from subscribing members and by subscribing members of the Club, as hereinafter defined.

The Committee shall consist of the Officers, and by not more than four members of the Club, who shall be elected at the Annual General Meeting. Every member of the Committee shall be a member of the Club as defined hereinafter. Should the number of nominations received at the Annual General Meeting exceed the number of vacancies, an election shall be held by ballot of the members attending.

Should a vacancy occur, by the death or retirement or by other cause of any Officer during the year, the Executive Committee shall have the power to appoint a suitably qualified person from members of the Club to fill the vacancy until the next Annual General Meeting, and to co-opt thereto as may be decided by a majority of the Committee.

The Committee shall meet not less than four times in every year.

 Meetings of the Committee shall be convened by the Secretary so appointed, by the giving of at least seven days notice to each member of the Committee, or such shorter notice as the Chairman may decide.

Any four members of the Committee shall form a quorum.

In the absence of the Chairman, at meetings of the Committee, the chair shall be taken by the Vice-Chairman. In the absence of both, a Chairman shall be elected by the members present.

Each member of the Committee shall have one vote, save that in all equality, the Chairman shall have a second or casting vote.

Membership

5.1.1.   Any person wishing to become a member of the Club shall apply for membership by completing and forwarding to the Treasurer such form as may be prescribed from time to time by the Committee.~

5.1.2.   All membership application forms received by the Treasurer shall be displayed in a prominent place at the headquarters of the Club for a minimum period of two weeks.                                                                             ~

5.1.3.   Any member wishing to object to an application for membership should notify the Secretary in writing. ~

5.1.4.   After the expiry of the period of two weeks mentioned above, the Committee shall as soon as convenient consider the application for membership, taking into account any objections notified to the Secretary, and shall promptly notify the applicant of the acceptance or otherwise of the application. ~

5.1.5.   In considering applications for membership the Committee shall have regard to the playing facilities available, and may from time to time decide that the Club shall be closed to new applications for membership for such period as it may decide. ~

5.1.6.   An appeal shall lie to a General Meeting of the Club against any decision to refuse membership of the Club.  ~

5.1.7     Notice of such an appeal must be in writing, and delivered to the Secretary within two weeks of the notification of the decision of the Committee. ~

5.1.8    On the appeal being heard by a General Meeting of the Club, the General Meeting shall have power to overrule the conclusion of the Committee.~

5.1.9    Subject to clause 5.1.10 a person who is a member in one year shall be entitled to renew his membership for each succeeding year for so long as he wishes to do so.~

5.1.10   A member shall cease to be a member of the club immediately if any of the following happens:-~

~

(a)    he is expelled from the club under the provisions of clause 5.2.3 below;~

~

(b)    his resignation in writing is delivered to the Treasurer; or~

~

(c)    his subscription for the new year has not been paid by the conclusion of the Annual General Meeting.~

5.1.11    A former member of the Club whose membership ceased only by virtue of clause 5.1.10 (c) above may rejoin as a member without the necessity for a further formal application for membership. ~

5.2 Conduct and Termination of Club Membership~

5.2.1.   In the event of a complaint being made to the Committee about the conduct of a member of the Club the Committee may (and if a written complaint is received signed by at least three members of the Club, it shall) investigate the complaint.~

5.2.2.   On investigating such a complaint the Committee shall give the member about whose conduct the complaint has been made an opportunity to be heard.~

5.2.3.   If on investigating such a complaint the Committee is of the opinion that the member has behaved in an unacceptable manner or in such a manner as to cause injury to the interests of the Club, then the Committee may reprimand the member, suspend the member from the privileges of membership for such period as it may think fit, or expel the member from the Club.~

5.2.4.   The Committee shall forthwith notify the member of any decision made on the investigation of a complaint about his conduct, and may if it thinks fit publicise the decision by displaying a notice at the headquarters of the Club. ~

5.2.5.   An appeal shall lie to a General Meeting of the Club against any decision to reprimand, suspend or expel a member of the Club.~

5.2.6.   Notice of such an appeal must be in writing, and delivered to the Secretary within two weeks of the notification to the member of the decision of the Committee.~

5.2.7.   In the event of an appeal being made against it, the decision of the Committee shall not be put into effect until the appeal has been determined.~

5.2.8    On the appeal being heard by a General Meeting of the Club, the General Meeting shall have power to overrule the conclusion of the Committee, or to uphold it, in which event the sanction imposed by the Committee may be confirmed or varied (to any sanction which the Committee was empowered to impose, or to none).~

Finance

The Income and Property of the Club wheresoever derived shall be applied solely toward the promotion of the objects of the Club as set forth in this memorandum of Constitution and no portion thereof shall be paid or transferred directly or indirectly by way of dividend, bonus or otherwise howsoever by way of profit to the members of the Club.

All money belonging to the Club shall be paid into such bank as specified by the Committee, to the accounts of the Club.

All cheques drawn on the accounts of the Club shall be signed by two signatories from those who shall be specifically authorised by the Committee.

Table Money

Members shall pay an annual fee. The level of the annual fee to be determined at the Annual General Meeting.

The directors will not pay table-money on the nights that they direct.  

All other members shall pay a table fee per session of such amount as the general committee determines subject to ratification at the Annual General Meeting.

Visitors shall pay an additional fee to the general table fee. The level of the additional fee to be determined at the Annual General Meeting.

General Meeting

The Annual General Meeting of the Club shall be held every year within eight months of the cessation of the current year which shall be the calendar year. It shall be convened by the Secretary so authorised by the Committee by not less than fourteen days notice in writing to all members of the Club as defined herein before.

Any six members present, other than Officers, shall be a quorum at any general meeting.

At the Annual General Meeting a full account duly audited of all receipts, expenditure, and property of the Club shall be presented by the Committee. At such meeting, the Auditor for the ensuing year shall be appointed, and the officers of the Club and members of the Committee shall be elected.

At every General Meeting, every member of the Club present shall have one vote. The voting at General Meetings shall be by show of hands, but the Chairman or any three members may demand a poll which shall be immediately taken and the result thereof declared by the Chairman. In the case of an equality of votes, the Chairman shall have a second or casting vote.

An Extraordinary General Meeting may be convened by the Committee or any six members of the Club who shall in writing so request it. The notice convening such a meeting shall specify the object of the meeting, and no other business shall be transacted.

Changes To the Constitution

Subject as herein after provided the Constitution of the Club as set out in this Schedule may be added or repealed or amended by resolution at any General Meeting, provided that no such resolution shall be deemed to have been passed unless it is passed by a majority of at least two-thirds of the members present at the meeting and entitled to vote. Notwithstanding the foregoing no amendment to the following clauses shall be made nor shall the following clauses be repealed

  1. Objects
  2. General Meeting
  3. Changes to the Constitution
  4. Closure of the Club.
Closure of the Club

If upon the winding-up or disillusion of the Club there remains after the satisfaction of all its debts and liabilities any property whatsoever same shall not be paid or distributed among the members of the Club but shall be given or transferred to the E.B.U. or some other institution having objects similar to the objects of the Club and which shall prohibit the distribution of its or their income among their members.
